Equity Participation of HIBIYA-KADAN group and the transfer of the flower business to the subsidiary

Farmind Corporation (Head Office: Chiyoda-ku, Tokyo; President and CEO: Tatsuo Horiuchi; hereinafter "Farmind") is pleased to announce that Farmind has reached an agreement with HIBIYA-KADAN FLORAL CO., LTD (Head Office: Minato-ku, Tokyo; President and CEO: Hiroaki Miyajima; hereinafter "HUBIYA-KADAN")that HIBIYA-TRADING CO., LTD (Head Office: Urayasu-shi, Chiba; President and CEO: Takeshi Fujii; hereinafter "HIBIYA-TRADING"), a wholly owned subsidiary of HIBIYA-KADAN, will acquire 51% stake in Ota Fresh Flowers Co., Ltd. (Head Office: Ota-ku, Tokyo; President: Tsuyoshi Yamashita; hereinafter "Ota Fresh Flowers"), a wholly-owned subsidiary of Farmind, on June 30, 2021 and Ota Fresh Flowers will acquire the flower business from Farmind on July 1, 2021.

As a result of this capital participation, Ota Fresh Flowers will become a subsidiary of HIBIYA-TRADING. As acquiring the flower business from Farmind, Ota Fresh Flowers will be responsible for wholesaling of daily flowers to large retailers and other retailers, as well as processing into bundles and arrangements, in addition to wholesaling in stores within the flower market.
In the future, Ota Fresh Flowers will respond to the needs of its customers more broadly, as a comprehensive fresh flower distribution company.

Based on Farmind’s corporate philosophy of "linking farmers with consumers", Farmind will continue to strengthen the supply system of fruits and vegetables in Japan and overseas and improve the quality through its nationwide cold chains, deliver fresh and delicious fruits and vegetables from farms to consumers, and contribute to the development of domestic and overseas fruits and vegetables distribution from various perspectives.
